Bahamas
The Bahamas are located in the Atlantic Ocean less than one hour's flying time from the east coast of Florida. It offers a flexible legislation for company incorporations. Following recent changes in their legislation all companies incorporated in the Bahamas will be treated as resident companies. However the fixed tax fee, as previously levied under the International Business Act, will continue for companies.
In common with many other jurisdictions, the use of certain words in a company name is prohibited, for example, Assurance, Insurance, Bank and Building Society. Company names must end with an appropriate suffix such as Limited, Incorporated or Sociedad Anonima.
The Company's share register, register of directors, register of other officers, minute books and an impression of the Seal must be maintained at its registered office in the Bahamas.
The company must have at least one director. The Company Secretary may be an incorporated company.
The Bahamas does not have any double taxation treaties.
There is a minimum number of one shareholder and shares of no par value may be issued. Normally, shareholders may be provided, bearer share companies are no longer acceptable.
It is not a requirement to either file annual accounts or an annual return. Company meetings may be held at any location. However management financial accounts are required for due diligence purposes.
