Seychelles
The Seychelles are a group of islands in the Indian Ocean. Independent from Britain since 1976.
Under the International Business Companies Act 1994 companies may be established in a similar manner to IBC companies in the Bahamas and the British Virgin Islands. Apart from the IBC Tax of US$100 due on the day prior to the anniversary of the incorporation of the company, no tax charge is levied by the Government of the Seychelles.
Company names are subject to the usual restrictions of decency and licenceable activities such as banking and insurance.
The company must have a registered agent and registered office in the Seychelles. Copies of all minutes of Directors and Shareholders meetings have to be kept at the registered office.
A Seychelles company may have Corporate Directors, Company Secretary and Shareholders. Meetings of Directors and Shareholders may take place in any jurisdiction.
Provided that the company does not trade in the Seychelles financial accounts do not have to be filed, or an Annual Return. However as part of general due diligence financial accounts, even if unaudited do have to be prepared. We can assist with such a service.
The Seychelles are not on an OECD or FATF black list. Being outside of the European Union they are not subject to the EU Savings Tax Directive.
Beneficial owner details are not required to be filed in the Seychelles. Shares may be held by a nominee on behalf of the principal.
